Neil W. Thomson is the founding member of Thomson Law, PLC. Mr. Thomson is equally comfortable in the courtroom as in the boardroom, and regularly serves as lead transactional and litigation counsel. This broad range of experience allows Mr. Thomson to provide clients comprehensive, strategic, innovative and cost-effective counsel. His practice focuses primarily on business transactions, corporate governance, mergers and acquisitions, commercial transactions, and intellectual property law. Prior to forming THOMSON Law, he was an attorney with the national law firm of Heron, Burchette, Ruckert & Rothwell headquartered in Washington DC.

While Mr. Thomson provides counsel in many business-related areas, he is particularly focused on planning, documenting and completing corporate and commercial transactions including completing various commercial agreements such as master services agreements, termination, suspension and forbearance agreements, restructuring agreements, various types of loan and financing agreements, professional service agreements, licensing agreements, joint venture agreements, and franchise agreements across a broad range of industries, including construction, emerging growth, manufacturing, medical, nutrition, development, telecommunications, technology, professional services, and real estate. Mr. Thomson routinely advises clients on organizing and planning business entities, mergers and acquisitions, structuring strategic alliances, structuring commercial and intellectual property transactions, and creating and protecting trade secrets and other intellectual property rights. Mr. Thomson also represents privately held companies in connection with private placements, financing alternatives, including secured and unsecured credit facilities and debt or equity offerings, and mergers and acquisitions. In addition, he has developed and implemented various exit strategies enabling clients to monetize their investments, including mergers and divestitures, and has implemented various corporate restructurings, reorganizations, and recapitalizations. His clients include individuals, entrepreneurs, emerging growth companies, health care providers as well as local and national companies.

In real estate, Mr. Thomson has represented real estate developers and property owners on a wide variety of legal matters, including acquisitions, loan workout agreements, 1031 exchanges, restructuring of transactions, financing, leasing, and due diligence issues.

Mr. Thomson was born in Madison, Wisconsin. He received a B.S. in Political Science from The Ohio State University in 1979, and his Juris Doctorate from the Capital University in 1985. While pursuing has law degree, Mr. Thomson was the Notes Editor of Law Review and a member of the National Moot Court team.

Mr. Thomson is a member of the Arizona and American Bar Associations, and is a member of the Business, and Litigation Sections of the ABA. Mr. Thomson lives in Phoenix with his wife and their three children. He enjoys spending time with his family, coaching youth sports, competing in triathlons as well as playing lacrosse and ice hockey.
